Terms and Conditions

1. About these Terms
These Terms and Conditions govern your use of the Nile Automate website at https://nileautomate.au and any services you purchase from us. Nile Automate is operated by Nile Capital Aus Pty Ltd (ABN 40 141 803 330), based in Melbourne, Australia.
In this document, "we", "us", and "our" mean Nile Capital Aus Pty Ltd operating as Nile Automate. "You" means anyone who visits the site, books an audit, or otherwise engages us for services.
By booking a call with us, purchasing an audit, or engaging us for a build, you accept these Terms.
2. About our services
We work as a fractional AI lead for businesses: we audit how your business runs, build AI systems over the tools you already own, and hand them over so your team runs them without us.
Every engagement starts with a paid audit:
- One-day diagnostic: for a solo operator or a very small team. A day inside your tools, ending in a written plan.
- Audit week: for a team. A week inside your tools, ending in a written plan with your own numbers behind it.
After the audit, if you choose to continue, the build is delivered in one of two forms, agreed with you in writing:
- A fixed-quote build: a bounded piece of work at a price quoted from the audit's findings.
- A month-to-month engagement: ongoing work billed monthly, with a weekly working rhythm (a working session, a build increment shipped into your tools, and a short written update), and a target agreed each month.
Every engagement ends in handover: written runbooks for each system installed, training as we go, and your team running the systems in your own accounts. After handover, you can optionally keep us on call for periodic reviews or ad-hoc work, with no lock-in.
The free Life OS and Team OS starter kits are downloadable templates provided as-is, at no charge, and are not services under these Terms.
3. Pricing and payment
All prices are in Australian dollars (AUD). We are not currently registered for GST, so no GST is added.
Audit prices are published on the website: $799 for the one-day diagnostic and $3,995 for the audit week. The audit is paid at booking, via Stripe. Half of your audit fee is credited toward your build if you proceed within 90 days of the audit.
Build pricing is quoted after the audit: a fixed quote for bounded builds, or a monthly amount for month-to-month engagements. Monthly amounts are billed in advance at the start of each month. You see every number and what it covers before you commit to it.
You authorise Stripe to charge your card or chosen payment method. We do not store your card details ourselves.
4. Booking and scheduling
You book a free 30-minute discovery call through cal.com, which sends a confirmation email with the meeting link (Google Meet). On that call we scope your situation, confirm which audit fits, and answer your questions. If you proceed, you pay for the audit, we schedule it, and we send brief pre-audit setup instructions.
You can reschedule audit sessions free of charge up to 24 hours before the start time using the link in your confirmation email. Inside the 24-hour window, please email hello@nileautomate.au and we will accommodate where we can.
5. Delivery
Audits are delivered inside your real tools, on-site or over Google Meet as agreed. The audit ends with a written plan you can act on, with us or without us. The plan is yours to keep regardless of whether you continue.
Builds are delivered into your own accounts and tools, with you or your team involved throughout. Month-to-month engagements follow the weekly rhythm described in Section 2. Runbooks and handover are part of every engagement, not extras.
6. Your responsibilities
For an audit or build to work, you need to:
- Have an active Claude account (any plan, free is fine to start).
- Attend the sessions with the uninterrupted time we agree.
- Complete the brief pre-audit setup tasks we send when you book.
- Give us the access to your tools and workflows that the audit or build reasonably requires.
- Be available on a stable internet connection where sessions are remote.
If you do not meet these responsibilities and the audit cannot be delivered, the refund guarantee in Section 7 does not apply.
7. Audit refund guarantee
The audit ends with a written plan you can act on, with us or without us. If you finish your audit without that plan, you get a full refund. Email hello@nileautomate.au within 7 days of the audit’s end to request it.
Refunds are processed via Stripe and usually appear on your card within 5 to 10 business days.
The guarantee applies if you have met the responsibilities in Section 6. We may decline a refund where the audit could not be delivered because of missed or unprepared sessions on your side.
The guarantee applies to the audit. Fixed-quote builds and month-to-month engagements are governed by their agreed scope and Section 8, not by this guarantee.
8. Cancelling
Before your audit starts: you can request a full refund by emailing hello@nileautomate.au any time before the scheduled start. No cancellation fee.
Month-to-month engagements: you can stop at the end of any month by telling us in writing before that month ends. There is no lock-in and no exit fee. Amounts already billed for the current month are not refunded, and we complete that month’s agreed work.
Fixed-quote builds: cancellation terms are set out in the written quote for that build.
9. Intellectual property
You own:
- Your Claude account, your other tool accounts, and everything in them.
- The systems, CLAUDE.md hierarchies, skills, integrations, and runbooks built for you. You can edit, extend, or remove them as you wish.
- Your own data, workflows, and content shared with us during the engagement.
We retain:
- The underlying templates and system designs we use across clients, including the free starter kits. The template designs are our intellectual property; the specific instance built for you is yours.
- Any improvements we make to our templates over time, including those informed by what we learn delivering engagements.
You may not redistribute, sell, or commercially sublicense our templates or system designs.
10. Confidentiality
What you share with us during an audit or build (workflows, business details, numbers, personal context) stays confidential. We do not share your information with anyone except as set out in our Privacy Policy.
If you want a written non-disclosure agreement in place before we start, email us before you book and we will arrange one.
11. No professional advice
Our audits and builds are operational and productivity services, not advice. We do not provide financial advice, regulatory advice, legal advice, tax advice, or medical advice through any engagement or in any of our communications.
If your work involves a regulated profession (financial services, law, healthcare, or any other field with statutory advice obligations), nothing we build or recommend substitutes for compliance with your own regulatory obligations.
12. Limitation of liability
To the extent permitted by Australian Consumer Law, our total liability to you in connection with an engagement is limited to the amounts you paid us in the three months before the event giving rise to the claim.
We are not liable for indirect, consequential, or special losses, including loss of profit, loss of data, or loss of goodwill.
Australian Consumer Law gives you certain statutory consumer guarantees that cannot be excluded. Nothing in these Terms attempts to limit those rights.
13. Third-party services
We use the following third parties to deliver our service:
- Stripe for payment processing.
- cal.com for booking and scheduling.
- Google Workspace for Google Meet and email.
- Anthropic (Claude) as the underlying AI platform.
- Vercel for website hosting.
Your use of those services through our website is also subject to those providers’ own terms. We are not responsible for outages or changes on those platforms. Where a build touches other tools you already use, your agreements with those providers continue to apply.
14. Governing law
These Terms are governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of Victoria.
15. Changes to these Terms
We may update these Terms from time to time. The current version is always at https://nileautomate.au/terms. If we make material changes, we will note them at the top of this document. Your continued use of the website or our services after a change means you accept the updated Terms.
